Jill Braunstein is a Partner at Abrams Fensterman, LLP and Co-Chair of the firm’s Corporate and Securities Law Practice Group working in the Lake Success office.
Ms. Braunstein focuses her practice on structuring and negotiating complex business and commercial transactions, including mergers and acquisitions, equity and debt financings, recapitalizations and restructurings, and strategic alliances. She is trusted counsel to early and late stage companies, business owners, family businesses, entrepreneurs, investors, and private equity funds on various corporate, finance, and commercial matters, including corporate governance, business succession planning, buy-side and sell-side M&A, capital raising, risk management, privacy issues, employment agreements, and executive compensation.
Ms. Braunstein provides her clients transaction-specific services with drafting and negotiating an array of contracts, such as operating agreements, shareholder agreements, joint venture agreements, employment agreements and equity incentive arrangements, sales, licensing, manufacturing, and distribution agreements, and other commercial contracts. She represents clients in industries as diverse as technology, SaaS, healthcare, pharmaceuticals, e-commerce, education, financial services, manufacturing, construction, consulting and business services, consumer products, hospitality & entertainment, and food and beverages.
Ms. Braunstein has a deep understanding of financial markets and securities laws, with experience handling SEC periodic reporting and proxy requirements, Section 16 reporting, Rule 144 sales, and Regulation D exemptions. She counsels clients on the complex rules and regulations of the SEC, NYSE and NASDAQ.
Prior to joining Abrams Fensterman, Ms. Braunstein was a partner at a mid-size commercial law firm in New York. She received her J.D. from Fordham University School of Law and her B.A., summa cum laude, in Economics and Business from The George Washington University. Ms. Braunstein is admitted to practice in the State of New York.
